Notice of Board Vacancies

Members are advised that in accordance with Rule 4.3, three Directors are retiring
due to the expiry of their term:
• Ms Rebecca Tolhurst; and
• Mr James March; and
• Mr Kevin Renshaw
Who being eligible offer themselves for re-election. As ordered by the Board I now call for nominations from Members to fill these positions.

Nominations
A nomination for election of a Director must:
a. Be signed by two or more members, and
b. Provide details of the qualifications and experience of the person
nominated; and
c. Be accompanied by a notice in writing signed by the person consenting to
their nomination. (Rule 4.4.3)
The nomination and the notice of consent must be lodged with the Secretary of the
Co-operative at least 30 days before the AGM (Rule 4.4.4), being 5pm Friday
September 16, 2022.
All forms shall be available from the registered office of the Co-Operative and the Information Desk in the Barossa Central Mall.

Conduct of the Election
At the AGM, if the number of nominations exceed available positions, a ballot shall be
conducted:

• All nominees are to be listed in alphabetical order on the ballot paper, and
• The votes are to be tallied by an independent Returning Officer. (Rule4.4.8)

Proxies
A member entitled to attend and vote at the Annual General Meeting may appoint a person to attend and vote at the meeting as the member’s proxy. (Rule 5.9)
Proxies may only be appointed by returning the Co-Operative’s proxy form to the Secretary at the Co-Operative’s Registered Office no later than 12.00pm on Friday 14
October 2022. The proxy form must be signed by the member or a representative duly authorised in writing by the member. (Rule 5.9)
